These Terms of Use (“Terms”) govern your use of the DigiAI Wallet mobile application (“App”) and related services. By installing, accessing, or using the App, you confirm that you have read, understood, and agreed to be bound by these Terms.

App-Only Access

DigiAI Wallet is a mobile app–only platform. You can only create and manage your account through the mobile app. Our website is for informational purposes only and does not provide login or account management functionality.

Account Registration & User Data

To use the App, you may be required to register and provide the following information:

  • First Name (required)
  • Last Name (required)
  • Email Address (required)
  • Phone Number (required)

You agree to provide accurate, complete, and up-to-date information during registration and to maintain the confidentiality of your account credentials.

Privacy & Zero-Knowledge Architecture

Use of the App is governed by our Privacy Policy. We adhere to a zero-knowledge architecture:

  • Your personal app data (notes, folders, entries) is stored only on your device and encrypted locally
  • We do not store, access, or transmit your encrypted data
  • Backup is user-initiated and occurs through your own cloud service (e.g., Google Drive, iCloud)

You are solely responsible for managing and restoring your encrypted backups.

Security Features

At DigiAI Wallet, we believe that security is not a feature — it’s our foundation.

  • TLS 1.3 for secure communication
  • Biometric authentication (Face ID / Fingerprint)
  • 2FA (where applicable)
  • Independent third-party security testing
  • On-device key management via encrypted storage
  • HIPAA-compliant AWS infrastructure
  • No international data transfers

Your device's built-in protections (iOS/Android) are your first line of defense. We recommend enabling biometric security and OS-level encryption.

Disclaimer on Data Loss & Backup

By using DigiAI Wallet, you acknowledge that your data is encrypted and stored only on your device unless you back it up via your own cloud. If you lose your device or access to your backup email, we cannot retrieve your data.

DigiAI Wallet is not responsible for data loss due to device issues, unbacked-up data, or forgotten credentials. Always back up securely.

DigiAI Wallet operates on a zero-knowledge architecture, meaning we do not store, access, or have visibility into any user data. All information remains securely on the user's device. As such, users are solely responsible for the security, backup, and maintenance of their own data and devices.

By using the DigiAI Wallet app and subscribing to our services, you acknowledge and agree to the following:

  • Data Responsibility: DigiAI Wallet cannot be held liable for any loss, corruption, or unauthorized access of data stored on your personal device. Since we do not store or control your data, any data loss resulting from device theft, damage, hacking, or malfunction is solely the user’s responsibility.
  • Device-Based Risks: Users are responsible for protecting their devices using secure methods such as passcodes, biometric authentication, and encryption. If your device is compromised, the security of your data may be at risk — and DigiAI Wallet cannot intervene or retrieve lost or exposed data.
  • Third-Party Services and Hardware: We are not responsible for service disruptions, performance issues, or failures arising from third-party platforms, operating systems, device manufacturers, or external service providers.
  • Subscription Agreement: Your use of the app and its services constitutes agreement with this disclaimer and our full Terms & Conditions.

We strongly encourage users to:

  • Regularly update their devices and apps
  • Enable all security features available
  • Avoid sharing device or app access credentials

DigiAI Wallet empowers you with full control of your data — with that control comes full responsibility.

Backup and Data Recovery

  • You can optionally back up your encrypted data to your own cloud drive (Google Drive or iCloud).
  • You can back up your data to Google Drive (Android only) or iCloud (iOS only).
  • If you choose to back up to iCloud, please note:
    • This backup cannot be restored on Android devices.
    • It can only be restored on iPhones where iCloud is available.
  • If you choose to back up to Google Drive, please note:
    • This backup cannot be restored on IOS devices.
    • It can only be restored on Android where Google Drive is available.
No backup = no data recovery.

According to our Zero-Knowledge Architecture, we do not store your personal data on our servers. Your data stays only on your mobile device or your selected backup service (Google Drive or iCloud). If you do not back up your data, then your data will be permanently lost in any of the following cases:

  • You lose your mobile device
  • You change your device (e.g. buy a new phone)
  • You reset or format your phone
  • Your mobile gets damaged or corrupted
  • You uninstall the app without backup
  • You restore your phone to factory settings

In all these situations, your data cannot be recovered unless you had previously created a backup. We strongly recommend setting up a backup to Google Drive (for Android) or iCloud (for iOS).

  • We do not access, manage, or store these backups.
  • To restore data on a new device, you’ll need to log in with the same backup email account.
  • We cannot help recover your data if you lose your device or your backup email/password.

Account Deletion and Subscription Responsibility

If you choose to delete your DigiAI Wallet account, all data stored on your device will be permanently removed. As per our zero-knowledge design, we cannot recover your data unless you have created a backup to your own cloud storage (Google Drive for Android or iCloud for iOS). You are solely responsible for managing your backup and ensuring your data is restorable if needed.

Subscription Responsibility:

If you have an active subscription, you must cancel it manually before deleting your account. Failure to do so may result in continued billing and automatic renewal through your app store provider, even after account deletion. DigiAI Wallet does not manage or cancel subscriptions on behalf of users.

User Conduct – What You Must Not Do

You agree not to:

  • Attempt unauthorized access to the App, accounts, or data
  • Reverse-engineer, decompile, or tamper with the App
  • Introduce malicious code or exploit vulnerabilities
  • Use bots, scrapers, or automation tools
  • Violate local/international laws (e.g., AML, CTF, KYC)
  • Interfere with App functionality or compromise its security

Legal Compliance

You agree to comply with all applicable laws and regulations, including:

  • Anti-Money Laundering (AML)
  • Counter-Terrorist Financing (CTF)
  • Know Your Customer (KYC)
  • General Data Protection Regulation (GDPR)
  • California Consumer Privacy Act (CCPA)
  • Other regional data protection regulations

Limited Use of Third-Parties

We do not integrate or share data with advertising networks or analytics providers. Third-party usage is limited to:

  • Apple and Google (for login and backup services)
  • Amazon Web Services (AWS) - for HIPAA-compliant cloud hosting

No other third-party data processing or marketing integrations exist.

Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind. We do not guarantee:

  • Continuous availability or error-free performance
  • That the App will meet your specific needs
  • Protection against threats not originating from our systems

Your use of the App is at your own risk.

Limitation of Liability

To the fullest extent permitted by law, DigiAI Wallet is not liable for:

  • Loss of access due to forgotten credentials or backup issues
  • Unauthorized access from compromised devices
  • Data loss due to user error, hardware failure, or unbacked-up data
  • Indirect or consequential damages arising from use of the App

Termination of Access

We reserve the right to suspend or terminate your access to the App for:

  • Violations of these Terms
  • Suspicious, fraudulent, or illegal activity
  • Actions that may harm other users or our systems

We may do so with or without notice.

Changes to Terms

We may update these Terms at any time. Updates will be posted within the App. Continued use after updates constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict of laws principles.
